Corporate Transparency Act
The Corporate Transparency Act (CTA) is a piece of legislation in the United States aimed at enhancing corporate transparency by requiring certain companies to disclose their beneficial ownership information to the Financial Crimes Enforcement Network (FinCEN), a bureau of the U.S. Department of the Treasury. The CTA was enacted as part of the National Defense Authorization Act for Fiscal Year 2021 and became law on January 1, 2021.

Beneficial Ownership Disclosure
The CTA requires certain corporations, limited liability companies (LLCs), and other similar entities to report information about their beneficial owners to FinCEN.
Beneficial owners are individuals who directly or indirectly control or own at least 25% of the ownership interests or have significant managerial control over the reporting company.
Creation of a Beneficial Ownership Registry
FinCEN is tasked with maintaining a confidential registry of the reported beneficial ownership information, which is not publicly accessible but can be accessed by authorized government authorities for law enforcement and national security purposes.
Aim to Combat Illicit Activities
The primary goal of the CTA is to prevent the misuse of U.S. entities for illicit activities such as money laundering, terrorism financing, tax evasion, and other financial crimes
Enforcement and Penalties
The CTA imposes penalties for non-compliance. Entities failing to report accurate and timely information, as well as individuals providing false information, may face civil and criminal penalties, including fines and imprisonment.
